Chapter 2 - The Forensic Audit & The Boardroom Coup

By 8:00 AM on Monday morning, the glass tower of Palmer Enterprises in Chicago’s Financial District was surrounded by news vans, satellite trucks, and bewildered employees holding unbadged coffee cups.

The morning headlines were relentless: MAFIA-STYLE ARREST AT ST. REGIS: PALMER ENTERPRISES IN FREEZE AFTER BRIDE ARRESTED AND FOUNDER ACCUSED OF FRAUD.

Inside the executive boardroom on the 42nd floor, Raymond sat at the head of a twenty-foot mahogany table. He looked haggard. His suit was wrinkled, his ties undone, dark circles bruising the skin beneath his eyes. He had spent the last thirty-six hours trying to post bail for Giselle—only to discover that his personal credit cards were declined, his line of credit was revoked, and his primary liquid assets were frozen solid under court order.

Across the table sat seven members of the Board of Directors, accompanied by the company’s chief legal counsel, Harold Vance (no relation to the detective).

"Raymond, this is a complete catastrophe," declared Arthur Sterling, the senior board member and primary venture capitalist. "Our stock has plummeted thirty-four percent in pre-market trading! The Department of Justice has already sent an informal inquiry regarding the freeze order. What the hell did you do?"

"It’s a temporary civil dispute!" Raymond slammed his fist onto the mahogany table. "My ex-wife is unstable! She’s using a high-risk pregnancy to manipulate the courts and blackmail me! My legal team is filing a motion to dismiss the freeze as we speak!"

"Your legal team can't file anything, Raymond," Harold Vance said quietly, pushing a pair of glasses up his nose. "Because as of seven o'clock this morning, your retainer check bounced. The firm cannot represent you personally while the company is named as a co-defendant in a federal forensic audit."

Before Raymond could explode, the double frosted-glass doors of the boardroom swung open.

Serena walked in.

She was flanked by Arthur Pendelton and four senior forensic accountants carrying silver aluminum cases filled with encrypted hard drives and paper ledgers.

"What are you doing here?!" Raymond shouted, rising from his chair. "Security! Escort this woman off the premises!"

"Security works for the entity that pays their contract, Mr. Palmer," Pendelton said calmly, pulling a certified court order from his briefcase. "And as of six AM, the receiver appointed by the Chancery Court authorized Ms. Dillard to oversee all operational audits of Palmer Enterprises."

Serena walked to the head of the table opposite Raymond. She plugged a black flash drive into the boardroom’s master presentation system. High-definition financial flowcharts immediately flickered to life on the giant wall monitors.

"Gentlemen of the board," Serena began, her voice calm, authoritative, and perfectly controlled. "For the last five years, you have believed that Palmer Enterprises' core proprietary asset—the algorithmic trading software Aegis-9—was developed by Raymond Palmer and licensed to the firm."

The board members nodded slowly.

"That is what the public filings state," Sterling said.

"It is a lie," Serena said simply. She tapped the touchscreen. A series of copyright filings and original code commit logs appeared on the screens. "I created Aegis-9 in 2018, two years before I married Raymond. The original source code was registered under my maiden name and placed into the Dillard Family Revocable Trust—a trust to which Raymond never had legal access."

Raymond’s face turned from red to an ashen grey. "That... that’s fabricated! We built that together in our garage!"

"You didn't write a single line of code, Raymond," Serena said, looking him dead in the eye. "You couldn't code your way out of a paper bag. What you did do was forge my signature on an assignment deed six months after our wedding while I was hospitalized with severe hyperemesis. You transferred the intellectual property rights from my trust to your shell company, Palmer Holdings LLC, registered in the Cayman Islands."

She clicked to the next slide. High-resolution forensic document analysis appeared, highlighting microscopic pixel irregularities in her signature on the 2021 assignment deed.

"Our forensic handwriting expert, alongside federal document analysts, has confirmed that this signature was digitally copied from my 2019 tax return," Serena revealed. "Furthermore, over the last three years, Raymond has siphoned forty-two million dollars in licensing fees out of this public company into offshore accounts controlled exclusively by him and his fiancée, Giselle Vance."

Silence descended upon the boardroom like a lead blanket.

Arthur Sterling slowly turned his gaze toward Raymond. The warmth in the old venture capitalist's eyes had vanished completely, replaced by cold, corporate fury.

"Raymond," Sterling whispered, his voice trembling with rage. "Is this true?"

"She’s setting me up!" Raymond stammered, sweat breaking out across his forehead, dripping down his nose onto his silk tie. "She edited those files! She’s an accountant—she knows how to cook books!"

"I don't cook books, Raymond," Serena said softly. "I write the math that exposes the cooks. And unfortunately for you, every dollar you stole passed through a server structure that I designed. I have every transaction log, every IP address, every wire confirmation, and every voice memo you left Giselle bragging about how easy it was to rob the firm."

Harold Vance, the chief legal counsel, slowly closed his laptop. He turned to the board.

"Gentlemen," Vance said in a flat tone. "If these documents are verified—and given the federal freeze order, they already have been—Raymond Palmer has committed multiple counts of federal wire fraud, corporate embezzlement, securities fraud, and grand larceny. Leaving him in this building poses an existential threat to the firm."

Sterling stood up. He didn't even look at Raymond.

"I move for an immediate vote of the board," Sterling announced. "To strip Raymond Palmer of his title as CEO, terminate his executive employment contract for cause, strip him of all voting shares pending judicial review, and install Serena Dillard as temporary managing receiver."

"Seconded," another board member stated instantly.

"All in favor?"

Every single hand at the table went up. Except Raymond’s.

"You can't do this to me!" Raymond screamed, slamming his palms against the glass wall. "I am Palmer Enterprises! My name is on the building!"

"Then we'll take the sign down by noon," Serena said quietly.

Two uniformed corporate security guards stepped into the room.

"Mr. Palmer," the lead guard said, placing a firm hand on Raymond's shoulder. "Please hand over your access badge, your corporate phone, and step away from the executive wing. We will pack your personal effects and mail them to your address."

Raymond looked around the table. He looked at the board members who had toasted him with champagne last month. He looked at his lawyer, who was actively avoiding eye contact. And finally, he looked at Serena.

She stood at the head of the room, radiant, composed, holding the master keys to the kingdom he had stolen from her.

"This isn't over, Serena," Raymond spat, his voice trembling with a mixture of rage and terror as the guards grabbed his arms. "I'll fight you in court! I'll take everything! I'll take the baby!"

Serena didn't blink. "You can try, Raymond. But you're going to find it very hard to fight a custody battle from a federal holding cell."
