Chapter 3 - The Dissected Empire

By December twenty-seventh, the story had broken across eastern Iowa like an explosion.

The Cedar Falls Gazette ran a front-page headline that destroyed forty years of the Mercer family's carefully crafted social image: LOCAL REAL ESTATE EXECUTIVES ARRESTED IN CHRISTMAS EVE CHILD ENDANGERMENT CASE; CORPORATE EMPIRE FROZEN.

In the basement holding cells of the Black Hawk County Jail, Corbin Mercer sat on a metal bench, wearing an orange jumpsuit. His hair was greasy, his eyes bloodshot, and his expensive cashmere sweater had been replaced by thin cotton prison attire. Across from him sat his corporate defense attorney, Arthur Vance—a high-priced lawyer from Des Moines whom Elaine had managed to secure using her emergency personal savings account.

"Arthur, you have to get us out on bail!" Corbin pleaded, slamming his hands against the glass partition. "The magistrate set bail at five hundred thousand dollars each! That’s absurd for a domestic dispute!"

Arthur Vance looked at his client with deep pity, shaking his head slowly as he opened a thick leather binder. "Corbin, you don't understand the scale of the catastrophe you’ve walked into. This isn't a domestic dispute anymore. This is a multi-front financial and criminal execution."

"What are you talking about?!" Corbin shouted. "It was just a fight with my wife! I’ll pay Clara alimony! I’ll give her a settlement! Just unlock my company accounts so I can post bail!"

"Your company accounts don't exist under your name anymore, Corbin," Arthur revealed, pulling out a legal document stamped by the Iowa State Department of Revenue. "When you signed the original funding agreement with Everett Langston five years ago, you signed a cross-collateralization deed of trust. You didn't read the fine print, did you?"

Corbin froze, his face draining of color. "What... what fine print?"

"Everett Langston wasn't just a military officer, Corbin," Arthur explained, his voice low and solemn. "Before he retired as a colonel, he was the Senior Logistics Management Director for the United States Army Material Command. He spent thirty years auditing multi-billion-dollar defense contracts. He knows corporate law better than ninety percent of the attorneys in this state."

Arthur pushed a document against the glass.

"The moment Sheriff Miller placed you under arrest for felony child endangerment," Arthur continued, "Section 14.2 of the Langston Trust triggered an automatic administrative buyout. Everett Langston exercised his option to purchase your remaining twenty percent of Mercer Development for the nominal sum of one single dollar."

"ONE DOLLAR?!" Corbin screamed, jumping out of his metal chair. "My firm is worth twelve million dollars!"

"Correction: Your firm was worth twelve million dollars when it was backed by Colonel Langston’s personal credit guarantees," Arthur countered sharply. "Without his backing, your commercial land leases in Cedar Falls have defaulted. Yesterday morning, Colonel Langston’s legal team filed for emergency Chapter 11 restructuring. He has appointed himself sole receiver. He has already terminated your executive contract, canceled your health insurance, and liquidated the corporate lease on your luxury sports car."

Corbin slumped back onto the metal bench, his hands shaking uncontrollably as tears of sheer panic began to pool in his eyes. "My mother... what about my mother’s pension?"

"Elaine was listed as an administrative director on the corporate payroll," Arthur said dryly. "The forensic audit initiated by Langston’s team yesterday uncovered over two hundred thousand dollars in unauthorized personal expenses charged to the company account over the last three years—including her trips to Scottsdale, her jewelry purchases, and her country club dues. The State Prosecutor is preparing additional charges for grand larceny and tax evasion."

"No... no, no, no..." Corbin whimpered, burying his face in his hands. "He can't do this... he was just an old man... he spent all his time fixing fishing boats..."

"He was letting you dig your own grave, Corbin," Arthur stated flatly, closing his binder. "He gave you five years to prove you were a decent husband to his daughter. You failed that test on Christmas Eve. Now, he’s treating you like an enemy combatant."
